1. Introduction & Definitions
These Terms of Service (“Terms”) constitute a binding legal agreement between you (“Customer,” “you,” or “your”) and Triii Technologies LLC, a Florida limited liability company, including its affiliates (“Triii Technologies LLC,” “we,” “us,” or “our”). By accessing or using our website (triii.org), platform, services, software, or any related digital offerings, you agree to be bound by these Terms. If you do not agree, you must discontinue use of our services immediately.
2. Service Provisioning & Availability
- Provisioning Timeline: Automated services are provisioned instantly upon confirmed payment. Dedicated servers, custom configurations, and manual orders require processing within one (1) business day during standard business hours (Monday–Friday, 9:00 AM – 5:00 PM EST). Orders placed outside business hours or on holidays will be processed on the next business day.
- Service Scope: The configuration, resources, and features available to you are determined by the service plan active at the time of purchase. Plan details, specifications, and pricing may change with 30 days’ written notice.
- Uptime & Maintenance: We strive to provide continuous service access but do not guarantee uninterrupted availability. Scheduled maintenance will be communicated in advance where feasible. Unscheduled downtime due to hardware, software, or network failures may occur; we will restore services as quickly as reasonably possible.
3. Account Registration & Security
- You must provide accurate, current, and complete registration information. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
- Notify us immediately at [support@triii.org] if you suspect unauthorized access or a security breach. We will investigate and take appropriate action but do not guarantee recovery or assume liability for losses resulting from delayed reporting or inaccurate information.
4. Acceptable Use & Content Restrictions
- All services must comply with our Acceptable Usage Policy (AUP), available at AUP. Prohibited activities include, but are not limited to: illegal content, spam, malware distribution, copyright infringement, resource abuse, and attempts to breach security or bypass restrictions.
- We may suspend or terminate services for verified violations without prior notice. Continued violations after notification or if malicious, violations may result in permanent account suspension.
5. Billing, Payments & Refund Policy
- Payment Processing: All fees are billed in USD via the methods listed at checkout. Recurring invoices are generated 10 days prior to the due date.
- Non-Payment Handling:
- New orders not paid within 24 hours of placement will be automatically cancelled and removed.
- Existing services will be suspended after three (3) consecutive days past the due date and permanently terminated if unpaid by the seventh (7) day.
- Prepaid Credit: Account credit does not expire, cannot be transferred to other accounts, and is non-refundable unless otherwise required by law.
- Refunds:
- Customer-initiated cancellations are eligible for a full refund within seven (7) days of the initial purchase if otherwise stated on the product page or checkout flow.
- If Triii Technologies LLC terminates service without cause, you will receive a pro rata refund for the unused portion of your billing cycle.
- Chargebacks & Disputes: Initiating a chargeback or payment dispute will result in immediate suspension of all account services and may restrict future ordering until the matter is resolved through standard payment processor channels.
6. Suspension, Termination & Data Management
- We reserve the right to suspend or terminate services for billing issues, policy violations, security threats, or operational necessity.
- Upon termination:
- All associated data, configurations, and backups are permanently deleted.
- Dedicated or reserved IP addresses are released back to our pool.
- Termination is irreversible; recovery of deleted data is not guaranteed.
- Cancellation timelines:
- Immediate cancellations process within minutes of submission.
- End-of-cycle cancellations remain active until the current billing period expires, then terminate on the next business day.
7. Backups & Liability for Data Loss
- Triii Technologies LLC performs automated off-site backups of core infrastructure daily. These backups are provided as a convenience feature without service level agreements (SLAs), guarantees, or warranty coverage.
- You are solely responsible for maintaining independent copies of your data. We shall not be liable for any data loss, corruption, or unrecoverable information resulting from system failures, misconfigurations, user error, or third-party software issues.
8. Technical Support & Premium Services
- Standard Support: Ticket-based assistance is provided for infrastructure and platform-related inquiries during business hours. Response times are based on availability and issue severity.
- Premium Support & Third-Party Configuration: Available at $199 USD per hour with a two (2) hour minimum. Services include software stack consultation, custom installations, database architecture, and performance optimization. Payment is required upon completion or as agreed in writing.
- We do not guarantee third-party application functionality, open-source compatibility, or external software performance. Contact the respective software provider for technical assistance on non-platform components.
- All communication must remain professional. Abusive, threatening, or discriminatory behavior may result in account restriction or termination without further notice.
9. Intellectual Property & DMCA Compliance
- You retain ownership of content you upload to our services but grant us a limited license to store, transmit, and cache data as necessary to provide the service.
- We comply with the Digital Millennium Copyright Act (DMCA). Upon receipt of a valid takedown notice, infringing content will be disabled within 24 hours. Repeat offenders may face suspension or permanent termination. Counter-notice procedures follow standard DMCA protocols.
10. Limitation of Liability & Warranty Disclaimer
- SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
- TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRIII TECHNOLOGIES LLC SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING DATA LOSS, BUSINESS INTERRUPTION, OR LOST PROFITS. OUR TOTAL LIABILITY EXCEEDS NO MORE THAN THE AMOUNT YOU PAID IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
- Some jurisdictions do not allow exclusions or limitations of liability; in such cases, our liability shall be limited to the fullest extent permitted by law.
11. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes arising from these Terms or your use of our services shall be resolved exclusively in the state or federal courts located in Pasco County, Florida. You consent to personal jurisdiction and venue in such courts.
12. Modifications to Terms
We may update these Terms at any time. Material changes will be communicated via email 30 days prior to the effective date and posted on this page with a revised “Last Updated” date. Continued use of our services after changes take effect constitutes acceptance. We are not obligated to notify individual users outside of standard communication channels except as legally required.
